Orogrande, on U.S. 54 between El Paso and Alamogordo, was once a bustling town of somewhere between 2,000 and 3,000 residents. A July 9, 1977, Times article gave some history of Orogrande:

When the mining operations were at their height, the now ghost town of Brice (4 miles east of Orogrande) was the major population center, not Oro Grande, and a railroad spur was constructed to haul the ores out.

Brice, in fact, had the first school in the area, and youngsters from Oro Grande (which has since been turned into one word) attended school there until the 1930s.

While gold captured the imagination of the prospectors, it was iron, turquoise and some silver which actually keep the towns alive.

Faded promise

The population of Orogrande began to wane when the promise of gold did not live up to expectations. By 1979, the town's population was reported to be about 80 people.

Through the '70s and '80s, the townspeople managed to keep a sense of humor about themselves and the town. There was the Orogrande National Forest, two trees and a sign; the Orogrande International Airport, a broken-down Border Patrol aircraft; and the unofficial ceremony to name Zelbourn, Algeria, as their sister city. Orogrande — Nothing is ever simple here. The 80 folk of this small community in the desert south of Alamogordo were all set to cut the ribbon on Orogrande International Airport this Sunday, when they complicated matters by throwing in this “sister city” thing.

Well. As always with Orogrande, it’s a long story. The airport first. A while back, a U.S. Border Patrol aircraft ran into engine trouble in the air above Orogrande and landed on an access road to U.S. 54, which runs through the community.

The plane was towed in to Perry Brunson’s garage, where it has been for about two months while Perry and friends work on the engine. The minor mishap inspired the impish Wood Johnston, who is chief ranger of the Orogrande National Forest (two trees and still growing) and chef du jour of the Oro Chico Cafe?, to dub Perry’s station and garage Orogrande International Airport.

“Oh, we’re having fun,” Woody announced Monday. “We’ve got the signs up already and everything — where the ‘gates’ are, and ‘baggage claim’ counter — everything.”

Plans call for a gala ribbon-cutting Sunday. To those fuddy-duddies who can’t see how Orogrande could be so “presumptuous,” as one man put it, Woody has an easy answer: “Why, our Runway 54 is 80 miles long!”

But what about the sister city business? Seems some Algerian engineers and embassy officials, in El Paso to study the implementation and operation of a natural gas pipeline with El Paso Natural Gas engineers, happened upon the Oro Chico.

The cafe? is also the “temporary” Ranger Station of the Orogrande National Forest. What with explanations of that arbor’s sign, and the signs about the airport, the engineers and the Orograndians became fast friends. And the engineers decided Orogrande has much in common with their home town: Zelboun, Algeria.

For one thing, they’re both little desert towns, with about the same head count — 80 humans, dogs uncounted. And, Woody points out, they both have border crossing problems — the Algerians complain the Moroccans come over and take jobs away from natives.

By the time all the comparisons had been made, the Algerians and the Orograndians had decided Orogrande and Zelboun were born to be sister cities. So among the festivities Sunday will be the presentation to Ali Boukhiar, as representative of Zelboun, of a proclamation from Orogrande and gifts to the Algerian town.

They will be delivered when the engineer goes home in July. “The whole thing’s got to be quasi-official, of course, because we’re not really a municipality,” Woody says. “I’ll be signing the proclamation as chief ranger. But though the airport is tongue-in-cheek, and though there’s a great deal of fun, connected with the sister cities, the feelings of friendship are genuine.

“Surely we haven’t reached the point quite yet in this bureaucratic world,” he adds, “that a proclamation of friendship and hopes for peace must be ‘officially official’ to be real."

Burrell alleges fraud in deal with El Paso business leaders

EL PASO - New Mexico entrepreneur and Las Cruces medical school founder Dan Burrell accuses an El Paso real estate investment trust, made up of some of El Paso's most successful business people, of fraud in a failed $20 million investment deal.

Burrell, founder and board chairman of the Burrell College of Osteopathic Medicine at New Mexico State University, made his claim in a lawsuit filed in El Paso federal court on June 10.

It's Burrell's response to the Borderplex Realty Trust's lawsuit filed in a state court in May. That lawsuit claimed Burrell's Borderplex Investment Partners breached a contract by failing to buy a promised $20 million worth of trust shares, which the trust planned to use for a multimillion-dollar Southwest housing venture.

The alleged contract breach forced the El Paso real estate investment trust, or REIT, to cancel its proposed housing venture with Encore Enterprises, a Dallas-based multifamily development firm, the trust reported in a letter to its shareholders.

Burrell's company alleges it canceled its agreement with the trust after buying $8.5 million worth of shares because it discovered what the federal lawsuit calls "multiple fraudulent misrepresentations" made by the trust.

Burrell's company Monday also filed a motion in an El Paso state court, asking the court to put the trust's lawsuit on hold while the issue is settled in federal court, which, Burrell's lawyers argued, has jurisdiction over claims tied to alleged violations of the U.S. Securities and Exchange Act.

The Burrell College of Osteopathic Medicine at New Mexico State University is a privately funded medical school located at NMSU, but operated separately from the university. It's scheduled to open in August in a new, 80,000-square-foot building.

Burrell, a New York state native who lives in Santa Fe and has a Yale law degree, has gained a high profile in New Mexico in recent years by first running a large commercial real estate company with a national portfolio of office buildings, then building the Las Cruces medical school. He owns an array of companies in various sectors, including a mining venture in Orogrande, N.M., and a huge ranch in Otero County

El Paso real estate mogul Bill Sanders, who is called Burrell's "trustworthy friend" in Burrell's lawsuit, asked Burrell to invest in the El Paso trust's new multifamily real estate strategy and to also help recruit other investors, according to the lawsuit. Sanders is one of the founders of the Borderplex Realty Trust.

"By virtue of its misrepresentations and material omissions, (Borderplex Realty Trust) succeeded in duping (Borderplex Investment Partners) into executing the subscription agreement and paying $8.5 million to (the trust) for the investment offering — which, of course, (Borderplex Investment Partners) would not have done had it known the truth," Burrell's lawsuit states.

The trust has refused to refund the $8.5 million despite offering to buy back shares from other investors who want out of the same investment offering, the lawsuit states.

Borderplex Realty Trust officials in a statement issued Monday said Burrell and his company spent more than five months evaluating their investment in the trust and negotiating a structure that would have given Burrell and his company "substantial governance rights" in the trust.

"All facts and relevant information regarding the transaction are fully disclosed in the offering documents," according to the El Paso trust's statement.

Many of the trust's board members and their family members "invested very substantial amounts on the same basis and upon the very facts that this particular sophisticated investor (Burrell's company) uniquely claims were not disclosed or that it did not understand," according to the trust's statement.

El Paso businessman Sanders and others formed the Borderplex Realty Trust in late 2006 to acquire Downtown buildings for redevelopment. It started as Borderplex Community Trust, but changed its name last year.

The trust assembled a $50 million Downtown property portfolio by 2011, some of which have since been sold. It owns two of El Paso's largest skyscrapers, the 18-story Chase and 21-story Wells Fargo bank buildings.

The Downtown El Paso investment strategy apparently was not successful, and around 2014, the REIT's board decided to focus on the acquisition and development of multifamily housing in certain rapidly growing Southwest U.S., markets, according to Burrell's lawsuit.

That led the El Paso trust to form a proposed joint venture with Encore Enterprises in Dallas for development of five multifamily properties, with total costs of $232.9 million, according to Burrell's lawsuit. The locations of the properties have not been publicly disclosed by the trust and were not disclosed in the federal lawsuit.

Burrell's lawsuit claims the trust did not disclose $13.8 million of Encore's project compensation, and other items that granted Encore an ownership stake in the proposed joint venture about 20 percent more than the size of its actual investment. That included the El Paso trust not disclosing it loaned Encore $2.6 million to buy land for one of the housing projects, according to the lawsuit.

The alleged undisclosed information was "highly material" to evaluation of the investment offering by Burrell's company because those facts reduced expected returns on Burrell's company investment and increased risk because of the absence of performance guarantees for the housing projects, the lawsuit states.

The trust turned down Burrell's company's offer to turn its cash investment into a zero-percent loan, or temporary investment so that the El Paso trust could complete the Encore deal, according to the lawsuit.

"With an existing shareholder base of more than 200 high-net-worth individuals and a board of trustees with extensive fundraising networks both nationally and globally, it is implausible" the $20 million that Burrell's company planned to invest in the trust "could not have been replaced in due course," the lawsuit states.

Instead, the Borderplex Realty Trust filed a lawsuit against Burrell's Borderplex Investment Partners in "a desperate attempt to shift blame for the failure of the (investment) offering, which actually fell apart when BRT's deception was discovered," the lawsuit states.

Burrell's company is asking the federal court to order the El Paso trust to refund its $8.5 million investment in the trust, and to order it to pay punitive damages of $17 million.

An El Paso real estate investment trust has filed a lawsuit claiming that a company managed by New Mexico real estate and medical school mogul Dan Burrell has breached a contract by reneging on an agreement to invest at least $20 million in the trust, which planned to use the money for a Southwest multifamily housing venture.

The Borderplex Realty Trust, managed by several of El Paso's most successful businesspeople, filed the lawsuit in an El Paso state court early this month against Borderplex Investment Partners, whose managing member is listed as Daniel C. Burrell, according to the lawsuit.

Burrell is founder and board chairman of the Burrell College of Osteopathic Medicine at New Mexico State University, a privately funded medical school located at NMSU that's operated separately from the university. It's scheduled to open in August in a new, 80,000-square-foot building.

Burrell could not be reached Friday for comment about the lawsuit. And his company by Friday had not yet filed a response to the lawsuit with the El Paso state court.

Jamie Gallagher, senior vice president of the Borderplex trust, said in an email that trust officials had no comment about the legal battle, except to say the lawsuit accurately states the trust's position in the matter.

Burrell, a New York state native who lives in Santa Fe and has a law degree from Yale, has gained a high profile in New Mexico in recent years by first running a large commercial real estate company with a national portfolio of office buildings and then building the Las Cruces medical school and other enterprises.

He's founder and chief executive officer of The Burrell Group, a holding company with an array of companies in various sectors, including a mining venture in Orogrande, N.M., and a huge ranch in Otero County, according to his biography on the Burrell medical school website and information in an Albuquerque Journal story about him.

Burrell's Borderplex Investment Partners last year agreed to purchase $20 million worth of shares in the El Paso real estate investment trust in three installments as part of a shares' offering by the trust, according to the lawsuit.

After paying $8.5 million for 42.5 percent of shares issued under the offering, Burrell's company notified the Borderplex trust that it had no intention of funding the remaining $1.5 million installment due by March 31, and the final $10 million installment due by April 18, the lawsuit claims.

In a May 13 letter to Borderplex trust investors, El Paso businessman Jack Cardwell, the trust's board chairman, informed investors of the alleged "commitment breach," and the trust board's decision to cancel the proposed multifamily housing venture because the trust needed Borderplex Investment Partners' money to help fund the venture.

Cardwell wrote that others who bought shares in the trust's offering could get their money back by returning the shares.

"The funds from the offering were to further implement Borderplex's (trust) workforce multifamily strategy by forming a venture with Encore Properties Inc., for the development of five multifamily properties," Cardwell wrote.

Encore is a Dallas-based national real estate company that develops, acquires, and manages multifamily properties, hotels, shopping centers, office buildings and other properties, according to its website.

The letter to trust investors did not provide further details about the proposed housing venture with Encore, and did not provide information on the size of the shares' offering.

Encore officials could not be reached for comment about the proposed venture.

A Borderplex Realty Trust filling with the Securities and Exchange Commission reported the trust sold almost $44 million worth of shares to 32 investors in February. The minimum investment was set at $30,225, it said.

In Cardwell's letter, he said that Borderplex Investment Partners indicated it would possibly invest as much as $30 million in the El Paso real estate investment trust and that the company's "strategic investor" would "become actively involved in the management of Borderplex" trust as its investment in the trust increased.

The Borderplex Realty Trust was formed in late 2006 by well-known El Paso businessman Bill Sanders and others to acquire Downtown buildings for redevelopment. It started as Borderplex Community Trust, but changed its name last year, according to a filing with the Texas Secretary of State's Office.

The trust owns El Paso's two largest skyscrapers, the 18-story Chase and 21-story Wells Fargo bank buildings. It also demolished two buildings on the 200 block of Mesa Street at Mills Avenue in Downtown in 2013 for a promised project that never materialized. The lots are still vacant.

The trust had assembled a $50 million Downtown property portfolio by 2011, some of which has since been sold. The trust board in late 2010 studied the possibility of shifting the trust's focus to investing outside of El Paso. A majority of shareholders voted against changing the focus.

But in the May letter to investors, Cardwell talked about the trust's "expanded strategy to invest in workforce multifamily properties in the Southwestern United States."

El Paso Inc. reported late last year that a trust letter to investors in 2015 said the trust was changing its strategy to investing in multifamily housing in Hispanic and working class markets.

The Borderplex trust in its lawsuit is asking the court to rule that Burrell's company breached its agreement and that the trust should receive damages, attorney's fees, and court costs from Borderplex Investment Partners.

A group of high-powered El Paso real estate investors in a new court filing maintain they did not defraud New Mexico entrepreneur Dan Burrell, founder of a Las Cruces medical college, in a failed $20 million investment deal as he alleged in a federal lawsuit filed in June.

The Borderplex Realty Trust, a 9-year-old El Paso real estate investment trust, in a motion filed July 5, is asking a federal judge to dismiss Burrell's lawsuit because the trust gave him a detailed, 174-page Private Placement Memorandum — similar to a prospectus for publicly traded stock offerings — and other documents that "clearly and unambiguously disclose the very information that (Burrell) alleges was concealed" by the trust.

The privately held trust revealed previously private details about its proposed housing venture and its finances and real estate holdings in its private stock offering memo, issued late last year, and attached to its court motion. The court also kept some of the trust's financial details private by sealing several documents attached to the lawsuit.

El Paso lawyer Link Beck, one of several lawyers representing Burrell in his lawsuit against the trust, said Burrell and his lawyers had no comments about the trust's motion. Burrell's lawyers have until next week, under federal court rules, to file a response to the trust's motion.

Burrell, who lives in Santa Fe, is founder and board chairman of the privately funded Burrell College of Osteopathic Medicine at New Mexico State University in Las Cruces, and owner of an array of companies in various sectors, including a mining venture in Orogrande, N.M.

Burrell's June lawsuit said El Paso real estate mogul and banker Bill Sanders, one of the founders of the Borderplex trust, asked him to invest in the trust's new, multifamily real estate strategy. Sanders, who made billions of dollars with past real estate companies, is chairman of Strategic Growth Bank, a bank holding company he founded several years ago. It owns Capital Bank in El Paso and other regional banks.

Jack Cardwell, another well-know El Paso businessman, is the trust's board chairman. His name is on the recently opened Cardwell Collaborative biomedical research building on the Medical Center of Americas campus in Central El Paso because he made a substantial donation for its construction.

The trust's $40 million private stock offering was to be used for a $234.4 million venture with Encore Enterprises, a Dallas developer, to build five apartment complexes in San Antonio, Dallas, Katy, Texas, and Denver — the start of the trust's shift to building and buying apartment complexes in the Southwest, including El Paso, according to the trust's offering memo. The trust had an agreement to buy Encore's multi-family development operations.

Burrell's Borderplex Investment Partners bought $8.5 million worth of trust shares early this year, but then canceled its agreement, which would have it buying another $11.5 million in shares by mid-April, after finding "multiple fraudulent misrepresentations" made by the trust, Burrell's June lawsuit alleged.

That forced the El Paso trust to kill its proposed housing deal with Encore, and ignited the ongoing legal battle.

The trust used its financial documents to refute the picture Burrell painted in his lawsuit that the trust was struggling and on the verge of "winding down" if it did not complete a deal to begin the multi-family development venture with Encore.

The trust was financially healthy when Burrell agreed to invest in it, according to its court motion.

The trust had assets of $82.4 million as of Sept. 30, 2015 — $37.2 million more than its $45.2 million in liabilities. Most of its assets were in its $65 million worth of real estate holdings. However, it lost more than $1 million in each of the last two years, according to its financial statements.

Its largest assets were 17 Downtown El Paso properties, including the Chase and Wells Fargo buildings in Downtown El Paso, and a 176-unit apartment complex in Santa Fe that the trust acquired in April 2015 for $20 million.

The trust's motion argues Burrell's lawsuit did not meet federal standards required to support a securities fraud claim, and for that reason, it asks that the lawsuit be dismissed.

It also argues that Burrell's signature on an agreement to buy $20 million worth of trust shares included an affirmation that Burrell and his company are legally defined as accredited, or sophisticated, investors who could secure needed information themselves to determine if the trust investment made sense.

The El Paso trust in May filed a lawsuit in an El Paso state court against Burrell's Borderplex Investment Partners, alleging it breached a contract by failing to buy the promised $20 million worth of trust shares. That lawsuit is on hold pending the outcome of the federal lawsuit.

Burrell fired back in June, filing a lawsuit in El Paso federal court, accusing the trust of securities fraud.

The trust's motion to dismiss Burrell's lawsuit includes a copy of an agreement Burrell signed that outlined the three payments his company promised to pay from Feb. 29, 2016 to April 18 to buy the $20 million worth of trust shares.

Burrell's lawsuit claimed the trust did not disclose $13.8 million of Encore's project compensation, and other items that granted Encore an ownership stake in the proposed joint venture about 20 percent more than the size of its actual investment. That included the El Paso trust not disclosing it loaned Encore $2.6 million to buy land for one of the housing projects, according to the lawsuit. Those items reduced investment returns expected by Burrell and increased his risk, his lawsuit argued.

The trust in its motion, asserted the $13.8 million compensation payment to Encore does not exist. It's a "fictional number" that Burrell mistakenly derived by combining certain numbers in the offering memo, according to the trust's motion.

The trust said it also disclosed its $2.6 million loan to Encore to buy land for a $45.5 million, 253-unit apartment complex to be built in Dallas in the project's balance sheet, which was part of one of the documents sealed by the court.
