The California Attorney General’s Office announced a settlement agreement Monday resolving a 12-state legal challenge to Paramount Skydance’s $110 billion merger with Warner Bros. Discovery, clearing a key hurdle for the transaction.
The merger would blend together two historic film studios (Paramount and Warner Bros.), two popular streaming platforms (Paramount+ and HBO Max) and two news organizations (CBS News and CNN) under the leadership of 43-year-old mogul David Ellison.
The states opposing the deal, led by California Attorney General Rob Bonta, sued to block the merger July 13, arguing in a 38-page complaint that it would “extinguish competition” in Hollywood.
The terms of the agreement include a pledge by the company to release 30 films per year for the first two years of the deal, followed by 32 films in each of the following three years — or pay a fee for missing that target. Bonta also said that the combined company would invest more than $1 billion in production and film releases in the United States.
Paramount is also pledging to establish independent editorial boards overseeing the operations of CNN and CBS News.
Also Monday, the Writers’ Guild of America announced it had settled its lawsuit with Paramount. The guild, which is made up of more than 21,000 members, said in its statement that it is still opposed to the deal, but after the states moved to drop their case, it had to “contend with the reality of forging ahead alone.”

As part of its settlement terms, the union said Paramount has agreed “to prohibit writer layoffs at CBS News Broadcast for 5 years, and to pay $17.5 million to our health fund along with our attorneys’ fees in the litigation.”
Paramount had agreed to freeze the merger until either the antitrust challenge was resolved or June 1, 2027 — whichever came first. Judge Araceli Martínez-Olguín of the U.S. District Court for the Northern District of California, who is presiding over the case, had scheduled an antitrust trial for early March.
The fee of $30 million per missed film will be paid into healthcare and retirement trust funds associated with Hollywood unions, such as the Writers Guild, International Alliance of Theatrical Stage Employees and Directors Guild of America.
In a statement Monday, Ellison said, “We are grateful to Attorney General Bonta and his fellow AGs, as well as the WGA, for engaging in good faith to find a path forward to a resolution that serves all parties, and to Governor Newsom for his support throughout this process.”

Shares of both Paramount and Warner soared more than 10% as reports of the deal circulated early in the day.
Additionally, as part of the states’ settlement agreement, “the merged company must conduct negotiations for Paramount basic cable channels independently from negotiations for Warner basic cable channels, preserving the existing competitive dynamic between the companies,” New Jersey Attorney General Jennifer Davenport said in a statement.
“The merged company will commit $47.5 million in a workforce fund over five years for training and career development for workers who are displaced by the merger,” the statement said.
The lawsuit challenging the deal was filed by Bonta and his fellow Democratic attorneys general from Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon and Washington.
They argued that the transaction violated Section 7 of the Clayton Antitrust Act of 1914, a federal law that bars mergers likely to reduce competition. The states said the deal would lessen competition in three areas: wide-release theatrical film distribution, anticipated top-grossing movie distribution and the market for distributing basic cable channels to cable and satellite providers.
Paramount rejected those claims, arguing that the states’ suit is “wrong on both the facts and the law” and “one of the weakest merger challenges in modern antitrust history.”
Paramount executives had been eager to wrap up the deal as soon as possible partly because the company agreed to pay Warner shareholders a “ticking fee” of 25 cents a share each quarter if the transaction did not close by Sept. 30 — a penalty worth more than $600 million every three months.
In August, Paramount’s lawyers asked Martínez-Olguín to require the merger’s legal opponents, which also includes the Writers Guild, to put up a nearly $1.9 billion bond. The money, the company said, would cover the costs of delays caused by the antitrust lawsuit.
The Justice Department threw its support behind Paramount’s demand that the opponents should be forced to post a bond as the price of continuing to block the merger. Martínez-Olguín had scheduled a hearing on Paramount’s bond request for Sept. 24.
Paramount had already received regulatory clearance from the Justice Department, which approved the deal on June 12, and it has touted similar approvals from other foreign territories, including Australia, Canada and China.
The deal was given the green light by the European Commission on July 21, which required the company to divest its stake in United International Pictures and not enter any film distribution deals with Universal in the European Economic Area for 10 years.
The merger also has the backing of AMC Theatres and Regal Cinemas, the largest movie theater chains in the U.S. by number of locations and screens.
But many outspoken actors, writers and producers in Hollywood have rallied behind efforts to block the merger, arguing in an open letter earlier this year that further corporate consolidation of the entertainment industry will “threaten the sustainability of the entire creative community.”
Paramount has repeatedly insisted the deal is “lawful, pro-competitive, and will benefit consumers, creators, workers, and the entertainment industry.”
The company has argued that big studios face healthy competition from smaller film distribution labels, including recent hitmakers Amazon MGM (“Project Hail Mary”), A24 (“Backrooms”) and Lionsgate (“Michael”).
The actors’ union SAG-AFTRA issued a statement shortly after a settlement was reached saying it believes the terms address “some of our deep concerns about production levels and investment in U.S. production.”
“We will continue to approach our relationship with Paramount with professionalism and the intention to work well together,” SAG-AFTRA President Sean Astin and National Executive Director and chief negotiator Duncan Crabtree-Ireland said in the statement. “We hope that the process of engaging with the attorneys general has impressed upon them the fact that in addition to collective bargaining, our members rely on the law to help protect our interests.. These are the lowest standards that our employers must meet.”
On Sunday and Monday, members of the Committee for the First Amendment — a free-speech advocacy group headed by actor Jane Fonda — organized rallies in Oakland, California, outside Bonta’s office, and in New York City, outside state Attorney General Letitia James’ office.
Holding signs reading “#BlockTheMerger,” the protesters called on attorneys general from the states suing Paramount to “stay strong” and resist making concessions in negotiations.
“We just want to thank everyone for listening, we want people to spread the word and let everyone know: This merger is bad,” said Bruce Cohen, a producer who was among the rally attendees and speakers Monday. “It’s bad for Hollywood, it’s bad for workers, it’s bad for democracy.”

Just weeks before Paramount Skydance starts being on the hook for the vaunted $7-million-a-day ticking fee to Warner Bros Discovery shareholders, the David Ellison-run company today pushed hard once again for the Writers Guild of America, California and 11 other states to pony up a nearly $2 billion bond in the antitrust battle over the $111 billion ParaBros merger.
In fact, with an implication they might just close the currently paused deal anyway if a federal judge doesn’t see things their way, Paramount pushed very hard Tuesday.
“Ticking fees like the one Paramount faces are extraordinarily rare, in part because they are extraordinarily expensive,” the multiple law firm-repped Paramount said Tuesday in a tense reply brief over the contested bond and the long wait until the March trial start. “It would be incredibly risky to add such fees solely to deter private litigation; if the merging parties ultimately lose the antitrust litigation, the payor of the ticking fee would be left with an enormous bill and no merger,” the company added.
“And there is no contention that this is such a case,” Paramount’s lawyers went on to say. “Here, Paramount added the ticking fee in a highly competitive bidding war with Netflix, confident that its transaction is legal under established U.S. and foreign antitrust laws and would clear the relevant regulatory hurdles well before those fees started accruing,” they noted of the roller coaster ride to snag WBD from the streamer and the ultimate deal that was given the thumbs up by “good friend” Donald Trump‘s Department of Justice earlier this summer.

Insisting on the importance of more than 60 other jurisdictions that have approved the merger — though the vast majorities of those approvals were limited to the immediate territory of the specific nations — Paramount don’t quite come out and call the states, the scribes and their long-threatened July 13 lawsuit out as dirty dealers, but they get damn close.
“Paramount provided unrebutted evidence that, but for the Order, it may suffer $1.88 billion in damages,” the 22-page filing says with telling mentions of the halted Nexstar/Tegna merger throughout. “Critically, the states never dispute that evidence or otherwise contest that Paramount will suffer financial injury as a result of the Order, both from the ticking fee and the incremental financing costs—a financial harm that the states outright ignore. Nor do they deny that Paramount would close this transaction by September 30, 2026, but-for the stipulated injunction. For purposes of this motion, then, the states have conceded that Paramount provided evidence to establish $1.88 billion in potential damages.”

Take a deep breath and look at that September 30 mention — that could be the vanishing point here, if you know what I mean. Also, recall that Paramount and Warner Bros agreed two weeks after the AGs and WGA hit them in court not to seal the merger deal until June 1, 2027, or when the legal challenges end, whichever comes first.
Shifting focus again, the filing states, full stop: “Because Paramount has established $1.88 billion in damages it will potentially suffer as a direct result of being wrongfully enjoined, the Court should grant the motion.”
Lamenting Ellison’s “old stale promise” of putting out more movies, California Attorney General Rob Bonta wants structural remedies in the ParaBros merger in order to back off. Whatever has been floated behind closed boardroom doors (which has not included peeling off CNN as of yet), it hasn’t gotten structural enough for the AG, who is seeking re-election.

As of Tuesday, with no real settlement talks underway, U.S. District Judge Araceli Martinez-Olguin has a September 24 hearing on the books to discuss the bond issue. Also on the non-court calendar is the October 1 date when the more than $635 million-a-quarter ticking fees begins. FYI: That is the same date that Paramount supposedly has given for settlement talks to begin or they might start looking at a corporate move out of blue state California to a red state.
Now facing a move from Iowa and Montana to take the whole dispute to the Supreme Court, Bonta and crew already have called the Paramount relocation whispers “blackmail.” A much-hyped settlement sit-down was scuttled at the eleventh hour by the Meta- and Nexstar/Tegna-fighting Golden State AG amid accusations that Paramount was leaking details of confidential discussions. An allegation that Paramount denies.

Battle lines and alliances clearly are drawn with everyone from Tom Cruise to California’s current and next governor, the Christopher Nolan-run DGA, IATSE, Ari Emanuel and seemingly everyone in between offering encouragement for a putting down of swords and a settlement. On the other hand, as big names link arms with Block the Merger activists, another report submitted to the L.A. Board of Supervisors warns of possible big job losses for the region if the deal goes through. The Department of Economic Opportunity adds to the gloom and doom by predicting that the mega-merger could cost L.A. County billions in wages and hundreds of millions in tax revenue.
With all that as the backdrop, Paramount said Tuesday in a separate statement that “if plaintiffs insist that this transaction is paused during the pendency of their lawsuit, they must accept the financial consequences if their challenge ultimately fails.” The company added: “Paramount agreed to delay closing to facilitate a prompt resolution of the case, while expressly preserving its legal rights and we continue to honor that agreement. We are not asking the district court to lift the no-close order, but to require enforcement of the bond that protects our financial interests while the litigation remains pending.”
AG Bonta’s office response to Tuesday’s Paramount brief was brief unto itself. “We believe Paramount’s motion has no merit and look forward to presenting our case in court at the September 24th hearing” the state DOJ asserted.

Having come up short weeks ago in its efforts to gain a faster trial in the challenge from the Bonta-led coalition of state attorneys general and the scribes’ union, Paramount moved on August 17 for its merger opponents to hand over some cash. Cash that is designed for the multi-billion dollar company and its loaded owner(s) to cover the “extraordinary losses” the long wait until a judgement is given on ParaBros Yes or ParaBros No.
“Now that trial is scheduled for March 2027, roughly four months after the trial date proposed by Defendants, and more than half a year from now, Paramount seeks the bond to which it is statutorily entitled,” the formerly Shari Redstone-owned company wrote in its motion last month
Needless to say AG Bonta, New York AG Letitia James, the WGA and the rest of the roadblockers took a very different stance.

“Whatever regret Paramount may feel for its commitments to Warner Bros., to Plaintiff States, to the WGA,1 and to the Court, it cannot show that the Court acted ‘improvidently’ in signing the joint stipulation,” the WGA and the 12 AGs responded on September 1. “Nor can Paramount show why the public or a non-profit labor union should underwrite its acquisition of Warner Bros.”
“In the alternative, if the Court grants Paramount’s motion, it should impose a nominal bond of $10,000.”
That would be a joke, if anyone was still laughing in this bitter standoff.

Paramount Skydance representatives are reportedly meeting on Monday with the California attorney general's office to discuss a path to a potential settlement of the antitrust lawsuit seeking to block Paramount's takeover of Warner Bros. Discovery, The New York Times reported Saturday.
Pressure to settle the suit has grown in recent weeks as California Gov. Gavin Newsom, Los Angeles Mayor Karen Bass, and the Directors' Guild of America, among others, have called for a settlement.
However, there are no assurances that this latest set of talks will lead to meaningful negotiations toward a settlement, the Times reported, citing people briefed on the upcoming discussions.
California Attorney General Rob Bonta, when asked about the apparent meeting, told CNBC on Saturday that he would "pefer to resolve disputes in the boardroom, not the courtroom." Bonta said his office is willing to meet "if the opposing party in litigation wants to meet in good faith to make a sincere effort to resolve the case."
However, Bonta said any potential discussions "will be unproductive absent robust structural remedies on the table that address our concerns." He told CNBC's David Faber on Thursday that Paramount has avoided addressing his office's concerns in the past.
″[Paramount] wanted to talk about everything except for what this case is about," Bonta said on CNBC. "They want to talk about the streaming market, which we don't allege in our complaint. They want to talk about CNN, which is not a focus of our complaint. They want to talk about the foreign regulators."
"We want to talk about the three markets that we set forth in our complaint, where we think there's antitrust violation," Bonta said.
A group of 12 state attorneys general filed a lawsuit in July challenging the proposed $110 billion acquisition that would combine two of the most storied film studios in Paramount and Warner Bros., as well as streaming platforms Paramount+ and HBO Max. The potential deal would create the largest portfolio of TV networks in the U.S.
"The unlawful merger of these two entertainment behemoths would lead to higher prices, lower quality, and less content for film and television, harming movie theaters, basic cable distributors, and ultimately, audiences on every sofa and movie theater seat in the U.S.," Bonta said in a release at the time announcing the lawsuit.
Paramount had previously agreed to delay the acquisition to as late as June 2027 due to the legal challenge, and a trial is set for March. However, if the deal is delayed beyond Sept. 30, Paramount will owe Warner Bros. Discovery shareholders a "ticking fee" that could amount to roughly $650 million in cash value every quarter, according to previous CNBC reporting. Should the deal fall apart entirely, Paramount would owe WBD a $7 billion breakup fee.
In June, the antitrust division of the U.S. Department of Justice cleared the proposed merger. European antitrust regulators also granted their approval for the deal in July.
However, U.S. state officials, as well as the Writers Guild of America and several prominent Hollywood actors and actresses, have argued that the merger would not only reduce competition but result in job losses in the entertainment industry.

As the legal battle over the $110 billion Paramount Skydance–Warner Bros. Discovery merger drags on, a coalition of state attorneys general is fighting to block the sale on antitrust grounds — and the buyer is threatening to leave California if the lawsuit succeeds. A leaked report now puts a number on the fallout: As many as 58,000 lost jobs and up to $21 billion a year in losses for California.
The report — from the Los Angeles Economic Development Corporation’s Institute for Applied Economics, commissioned by Paramount itself — was leaked Saturday by Politico and lays out grim numbers for the motion picture industry. Leadership at Paramount-Skydance is negotiating with the gaggle of AGs, led by California’s Rob Bonta, and racing against an Oct. 1 deadline: If the merger hasn’t closed by then, the deal’s “ticking fee” kicks in, paying Warner Bros. Discovery shareholders $7 million a day. Paramount’s threat to relocate the studio to Georgia, Tennessee or Texas has been one of its central negotiating tactics — and has drawn uproar across the industry.
The new report quantifies just how much California stands to lose. It finds the state “would experience the permanent loss of approximately 28,990 to 57,980 full-time job-years statewide across all industries, and losses of between $10.6 billion and $21.2 billion annually in economic output.”
But Paramount’s post-merger commitment to produce 30 features a year for three years would generate an estimated 1,020 to 2,760 job-years in California, and between $377.7 million and $1.01 billion in economic output between Oct. 1 and Sept. 30, 2031. The totals reflects between 340 and 920 job-years and between $125.9 million and $337.2 million in statewide output every year for three years.
The estimated job losses include direct, indirect and induced jobs — accounting for ripple effects through Paramount’s California supply chains and the broader economic activity tied to household spending. In other words, the total reflects job losses across all industries, not just film and TV.
An added blow would come from converting Warner Bros.’ soundstages to commercial or residential property, which the report says would “permanently strip” California of infrastructure built over a century — infrastructure that supports the vendors, crews and post-production facilities built up around it.
California remains the world’s fourth-largest global economy, with a nominal gross domestic product of about $4.1 trillion to $4.4 trillion. If Paramount were to exit, the report states, the best-case scenario would see the company slow-walk its departure as it reduces its spending in California. But the worst-case scenario would involve Paramount “substantially or entirely” relocating to another state, which would tank the state’s economy in terms of tax revenues.
U.S. District Judge Araceli Martinez-Olguin has set a Sept. 24 hearing to consider Paramount’s $1.88 billion bond request of the 12 states and the Writers Guild of America, which is also suing to block the merger. The studio made the bond requests as security to cover losses it would incur if the deal is not completed until after the trial.
If the parties do not settle ongoing negotiations, both are moving toward a March 2027 trial date.
