As Paramount continues battling state AGs to close its merger with Warner Bros Discovery, Cinemark, the nation’s third largest chain, has joined the top two circuits in supporting the $111 billion deal.

“David Ellison and the leadership team at Paramount Skydance have repeatedly expressed their intent to release at least 30 films into theaters annually following a merger with Warner Bros. Discovery, with minimum windows of 45 days to PVOD and 90 days to SVOD. Moreover, they are now offering to put those pledges into written commitments and consent decrees. These are conditions and formal assurances that align with our long-held views, which we at Cinemark support.”
Exhibition trade organization, Cinema United, which has strongly opposed the combination, softened is stance somewhat in a letter to Ellison, Paramount’s CEO, and California AG Rob Bonta, encouraging them “to meet in the immediate future and discuss all possible avenues for resolving the state of California’s pending challenge to Paramount’s proposed acquisition of Warner Bros. Discovery.”
Cinemark CEO Sean Gamble signed the Cinema United note, as did Regal CEO Eduardo Acuna and chief executives of chains including Phoenix Theatres, B&B Theatres, Polson Theatres, Kinepolis Group, CineLux Theatres, Cineplex Entertainment and Marcus Theatres.
AMC Entertainment and Regal, the top two circuits, have supported David Ellison’s bid to buy WBD, a process that’s slowed considerably due to an antitrust lawsuit by a dozen state attorneys general. Bonta is leading the charge to block the deal.
A trial is set for March.
Yesterday, Paramount’s lawyers filed paperwork seeking a $1.88 billion bond from blue state AG plaintiffs and the WGA. That bond would help cover the $7 million-a-day ticking fee that Paramount Skydance is obliged to pay to WBD shareholders starting in a few weeks, plus other costs baked into the agreement.

California Attorney General Rob Bonta told CNBC's David Faber on Thursday that the group of states suing to block Paramount Skydance's proposed acquisition of Warner Bros. Discovery would require "robust structural remedies" to reach a settlement in the antitrust case.
"[Paramount] wanted to talk about everything except for what this case is about. They want to talk about the streaming market, which we don't allege in our complaint. They want to talk about CNN, which is not a focus of our complaint. They want to talk about the foreign regulators. We want to talk about the three markets that we set forth in our complaint, where we think there's antitrust violation," Bonta said.
Bonta and 11 other state attorneys general filed a lawsuit in July seeking to block the merger. The group of suing states also includes Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon and Washington. In the suit, the group focuses on the size of the combined company and how it would control nearly one-third of films and nearly a third of basic cable TV programming.
Paramount, which initially sought to close the deal by Sept. 30, agreed to delay the proposed acquisition of WBD to as late as June 2027. A trial will be heard on the matter in March.
There has been widespread speculation about whether Paramount and the states will hold settlement talks to bypass the March trial.
"I will say that coming to the table has always been on the table. And if [CEO David] Ellison and Paramount want to come to the table in good faith and talk, we want to talk, too. We're happy to have that conversation," Bonta said. "We do prefer to resolve cases in the boardroom instead of the courtroom, but for now we're bringing our case, and, you know, I hope they can focus on the actual allegations we make in our complaint."
Bonta said it's no secret Paramount wants the states to consider a settlement.
If the two companies were to combine, it would unite the famed movie studios Warner Bros. and Paramount, as well as a massive portfolio of TV networks including Paramount's broadcast network CBS and pay TV channels such as its MTV and BET with WBD's CNN, Discovery and others. It would also bring together streaming platforms Paramount+ and HBO Max.
"Whether the market is shrinking or growing is really irrelevant," Bonta said Thursday in response to the argument that the pay TV subscriber base has been decreasing due to the rise of streaming.
Bonta said a combined Paramount-WBD would create a "presumptively illegal market concentration" in the film and TV markets the group of attorneys general identified in the lawsuit.
"We are the ones who've looked at this from a straight-up law and facts perspective in the American economy under American law under Clayton Act Section 7, which applies here as antitrust law," Bonta said. "[The law has] been on the books for over a century. And it's just a straight up, meat-and-potatoes, black-and-white, bread-and-butter, antitrust case."
The Clayton Antitrust Act is the more-than-100-year-old law that prohibits anticompetitive mergers and acquisitions.
Paramount has previously called the states' lawsuit a "misrepresentation of competition in the entertainment industry today," and said it plans to "vigorously defend the transaction and demonstrate that this challenge is inconsistent with sound competition and policy and the competitive realities of the media marketplace."
Paramount's lead trial counsel, Jeffrey Kessler, earlier told CNBC that Paramount "believes strongly" in the combination of the two companies and is prepared to bring the matter to the Supreme Court if it was faced with a prolonged blockade to closing the deal.
During Paramount's August earnings call, Ellison said he's "confident" the deal will close.
A Paramount spokesperson didn't immediately respond to a request for comment about Bonta's remarks on Thursday.

Just weeks before Paramount Skydance starts being on the hook for the vaunted $7-million-a-day ticking fee to Warner Bros Discovery shareholders, the David Ellison-run company today pushed hard once again for the Writers Guild of America, California and 11 other states to pony up a nearly $2 billion bond in the antitrust battle over the $111 billion ParaBros merger.
In fact, with an implication they might just close the currently paused deal anyway if a federal judge doesn’t see things their way, Paramount pushed very hard Tuesday.
“Ticking fees like the one Paramount faces are extraordinarily rare, in part because they are extraordinarily expensive,” the multiple law firm-repped Paramount said Tuesday in a tense reply brief over the contested bond and the long wait until the March trial start. “It would be incredibly risky to add such fees solely to deter private litigation; if the merging parties ultimately lose the antitrust litigation, the payor of the ticking fee would be left with an enormous bill and no merger,” the company added.
“And there is no contention that this is such a case,” Paramount’s lawyers went on to say. “Here, Paramount added the ticking fee in a highly competitive bidding war with Netflix, confident that its transaction is legal under established U.S. and foreign antitrust laws and would clear the relevant regulatory hurdles well before those fees started accruing,” they noted of the roller coaster ride to snag WBD from the streamer and the ultimate deal that was given the thumbs up by “good friend” Donald Trump‘s Department of Justice earlier this summer.

Insisting on the importance of more than 60 other jurisdictions that have approved the merger — though the vast majorities of those approvals were limited to the immediate territory of the specific nations — Paramount don’t quite come out and call the states, the scribes and their long-threatened July 13 lawsuit out as dirty dealers, but they get damn close.
“Paramount provided unrebutted evidence that, but for the Order, it may suffer $1.88 billion in damages,” the 22-page filing says with telling mentions of the halted Nexstar/Tegna merger throughout. “Critically, the states never dispute that evidence or otherwise contest that Paramount will suffer financial injury as a result of the Order, both from the ticking fee and the incremental financing costs—a financial harm that the states outright ignore. Nor do they deny that Paramount would close this transaction by September 30, 2026, but-for the stipulated injunction. For purposes of this motion, then, the states have conceded that Paramount provided evidence to establish $1.88 billion in potential damages.”

Take a deep breath and look at that September 30 mention — that could be the vanishing point here, if you know what I mean. Also, recall that Paramount and Warner Bros agreed two weeks after the AGs and WGA hit them in court not to seal the merger deal until June 1, 2027, or when the legal challenges end, whichever comes first.
Shifting focus again, the filing states, full stop: “Because Paramount has established $1.88 billion in damages it will potentially suffer as a direct result of being wrongfully enjoined, the Court should grant the motion.”
Lamenting Ellison’s “old stale promise” of putting out more movies, California Attorney General Rob Bonta wants structural remedies in the ParaBros merger in order to back off. Whatever has been floated behind closed boardroom doors (which has not included peeling off CNN as of yet), it hasn’t gotten structural enough for the AG, who is seeking re-election.

As of Tuesday, with no real settlement talks underway, U.S. District Judge Araceli Martinez-Olguin has a September 24 hearing on the books to discuss the bond issue. Also on the non-court calendar is the October 1 date when the more than $635 million-a-quarter ticking fees begins. FYI: That is the same date that Paramount supposedly has given for settlement talks to begin or they might start looking at a corporate move out of blue state California to a red state.
Now facing a move from Iowa and Montana to take the whole dispute to the Supreme Court, Bonta and crew already have called the Paramount relocation whispers “blackmail.” A much-hyped settlement sit-down was scuttled at the eleventh hour by the Meta- and Nexstar/Tegna-fighting Golden State AG amid accusations that Paramount was leaking details of confidential discussions. An allegation that Paramount denies.

Battle lines and alliances clearly are drawn with everyone from Tom Cruise to California’s current and next governor, the Christopher Nolan-run DGA, IATSE, Ari Emanuel and seemingly everyone in between offering encouragement for a putting down of swords and a settlement. On the other hand, as big names link arms with Block the Merger activists, another report submitted to the L.A. Board of Supervisors warns of possible big job losses for the region if the deal goes through. The Department of Economic Opportunity adds to the gloom and doom by predicting that the mega-merger could cost L.A. County billions in wages and hundreds of millions in tax revenue.
With all that as the backdrop, Paramount said Tuesday in a separate statement that “if plaintiffs insist that this transaction is paused during the pendency of their lawsuit, they must accept the financial consequences if their challenge ultimately fails.” The company added: “Paramount agreed to delay closing to facilitate a prompt resolution of the case, while expressly preserving its legal rights and we continue to honor that agreement. We are not asking the district court to lift the no-close order, but to require enforcement of the bond that protects our financial interests while the litigation remains pending.”
AG Bonta’s office response to Tuesday’s Paramount brief was brief unto itself. “We believe Paramount’s motion has no merit and look forward to presenting our case in court at the September 24th hearing” the state DOJ asserted.

Having come up short weeks ago in its efforts to gain a faster trial in the challenge from the Bonta-led coalition of state attorneys general and the scribes’ union, Paramount moved on August 17 for its merger opponents to hand over some cash. Cash that is designed for the multi-billion dollar company and its loaded owner(s) to cover the “extraordinary losses” the long wait until a judgement is given on ParaBros Yes or ParaBros No.
“Now that trial is scheduled for March 2027, roughly four months after the trial date proposed by Defendants, and more than half a year from now, Paramount seeks the bond to which it is statutorily entitled,” the formerly Shari Redstone-owned company wrote in its motion last month
Needless to say AG Bonta, New York AG Letitia James, the WGA and the rest of the roadblockers took a very different stance.

“Whatever regret Paramount may feel for its commitments to Warner Bros., to Plaintiff States, to the WGA,1 and to the Court, it cannot show that the Court acted ‘improvidently’ in signing the joint stipulation,” the WGA and the 12 AGs responded on September 1. “Nor can Paramount show why the public or a non-profit labor union should underwrite its acquisition of Warner Bros.”
“In the alternative, if the Court grants Paramount’s motion, it should impose a nominal bond of $10,000.”
That would be a joke, if anyone was still laughing in this bitter standoff.

Paramount is expected to meet with California officials Monday in preliminary talks about a possible settlement to the state’s lawsuit that seeks to halt the company’s pending $110 billion acquisition of Warner Bros. Discovery.
Citing “four people briefed on the upcoming discussions,” the New York Times reported on the planned discussion Saturday, adding that Paramount asked for the meeting.
The talks will include senior executives and lawyers for Paramount Skydance Corporation and top lawyers with California Attorney General Rob Bonta’s Office, the newspaper reported.
When asked if state DOJ officials would meet on Monday for preliminary talks about a possible settlement with the Paramount Skydance representatives, Bonta responded in a statement: “As I’ve said before, generally for all of my cases, I prefer to resolve disputes in the boardroom, not the courtroom. As I’ve also said, if the opposing party in litigation wants to meet in good faith to make a sincere effort to resolve the case, we’ll meet. And as I have further said, any potential discussions about the Paramount/Warner Bros. merger will be unproductive absent robust structural remedies on the table that address our concerns.”
Bonta also raised concerns about the current terms of the merger.
“As it stands today, the proposed Warner Bros./Paramount merger will mean higher costs, less competition, lower wages, job cuts and fewer movies and TV shows. This merger violates long-standing federal antitrust law, and we are committed to enforcing the law.”
Attempts to reach Paramount for comment Saturday were not immediately successful.
The U.S. Department of Justice closed its review and approved the proposed merger June 12, but Bonta and 11 other state attorneys general subsequently filed a lawsuit seeking to block the deal on antitrust grounds.
Under a court stipulation entered July 24, the companies cannot close the transaction until the earlier of five days after a decision on the merits of the lawsuit or June 1, 2027. A trial is scheduled for March 2027.
Gov. Gavin Newsom, Los Angeles Mayor Karen Bass and other Democratic elected officials and union leaders have expressed support for quickly reaching a settlement
“While there are varying perspectives on the proposed transaction, today we are united around one clear message: It is time for all parties to come to the table,” Bass said Thursday. “The continued uncertainty is not good for workers, not good for productions and not good for the future of this industry.”
City Councilwoman Nithya Raman, who is challenging Bass in the Nov. 3 mayoral election, had a different perspective. In a statement, Raman said L.A.’s film industry is already in crisis and the merger would only make it worse.
“This is a bad deal for entertainment workers and a bad deal for Los Angeles,” Raman said in her statement. “That’s why I support Attorney General Rob Bonta’s antitrust lawsuit and stand with the workers fighting this merger.”
“Paramount’s threat to leave California unless the lawsuit is dropped is an attempt to strong-arm our state. Serious questions about this merger’s legality should be decided in court, not through corporate threats,” Raman added.
The Writers Guild of America was also quick to criticize Bass for calling for a settlement. The WGA has partnered with Bonta and 11 other states to challenge the merger.
“We are disappointed that Mayor Bass has chosen to join Paramount’s pressure campaign on public enforcers, to push through a merger that is being rightfully challenged as illegal and will lead to job losses in the entertainment industry,” the WGA said in a statement to Deadline Hollywood. “Her statement comes on the heels of a county report estimating thousands of jobs will be lost if the merger proceeds.”

Bonta canceled the scheduled sit-down after reports of an August 21 meeting with the David Ellison-led company oozed out. More galling to Bonta is that what was discussed at that meeting slipped out into the public sphere. The re-election seeking AG specifically noted: “My office had a meeting with Paramount on Friday. Paramount did not maintain the confidentiality of that meeting.”
“Not only did Paramount leak the alleged substance of settlement discussions, but they misrepresented these discussions, demonstrating a lack of good faith,” the AG said in a statement provided to Deadline in the midnight hour. “As soon as Paramount stops playing games and engages sincerely, my office is happy to meet again.”
News of behind-the-scenes talks in the bitter battle over Paramount’s $111 billion merger with Warner Bros Discovery were actually first confirmed publicly by none other than Gov. Gavin Newsom. “I know there are many meetings that are going on, and there’s a lot of conversation,” the presumed 2028 presidential candidate said on August 21.
It should be noted that Deadline actually heard details of the August 21 preliminary gathering to set the agenda for the August 24 meeting from a variety of sources, if you know what I mean?
Though expectations for the August 24 meeting were “intentionally low,” sources told Deadline Sunday, there seemed to be several hot ticket items on the table for the parties.
Specifically, representatives of the 12 state AGs who sued Paramount and Warner Bros Discovery in an antitrust action on July 13 wanted CEO Ellison to sell a swath of WBD’s still lucrative cable channel stable. As well, the elected officials sought to have Paramount and WB remain two separate studios, with Donald Trump pal Ellison (and to some extent his father and backer Larry Ellison) practically cordoned off from running the place he just bought.
“David’s not going to go along with any of that, and Bonta knows it,” a studio exec told Deadline Sunday of the discussion points put on the table. Clear non-starters with Ellison and Para execs, the agenda points also reflect the wide figurative and literal distance between the AGs, their lawsuit partners the WGA and the Melrose lot.
Paramount did not respond early Monday to request for comment on Bonta’s pulling of the meeting plug. The New York Times first reported the meeting cancellation.
Urged by the likes of Gov. Newsom, flip-flopping L.A. Mayor Karen Bass, the DGA, IATSE, Democratic gubernatorial candidate Xavier Becerra, and others to sit down and hammer out a settlement, the AGs and Paramount/WBD have been set by a federal judge to go to trial on March 2, 2027.
With Bonta decrying leaks of Ellison moving Paramount Skydance to Georgia, Texas or Tennessee if the ParaBros merger doesn’t see significant talks or resolution by October 1 as “blackmail,” the bitterness between the two has become as much a corporate and political showdown as a legal one. The CEO penning NYT op-eds insisting it is all about CNN, didn’t help the healing process.
The already reinforced battlefronts became all the more stark over the past week, with Paramount ignoring federal Judge Araceli Martinez-Olguin’s earlier implied rejection of any bond from the states and asking for a $1.88 billion bond to offset the “extraordinary losses” the suit could cost the company. Add to that another report submitted to the Los Angeles County Board of Supervisors on August 19 spotlighting that “about 4,500 TV and film jobs … could be lost.”
The L.A. County Department of Economic Opportunity also estimates thousands of more indirect and industry adjacent jobs will be wiped out by the more than $80 billion debt-carrying ParaBros. The bigger picture puts another consequence of the merger being the loss of wages in the billions and the region losing $547 million in tax revenue.
No further settlement meetings had been put on the calendar beyond today.
One source said to Deadline the fight between Paramount and Bonta is all a “game of PR chicken.” If so, then someone just blinked.
