Prospect Medical Holdings, which owns Waterbury, Manchester and Rockville General hospitals, stopped paying rent on its hospitals after signing a deal to sell to Yale New Haven Health and had to sign over an ownership stake to its landlord as a court fight over the deal’s price dragged on, according to a recent court filing. Prospect’s rent issues were detailed in court documents filed Wednesday as part of lawsuits filed relating to the deal’s purchase price.

Yale New Haven Health agreed to pay $435 million for the three Connecticut hospitals in October 2022, but has argued in court that Prospect began neglecting its properties almost immediately after the deal was struck, in addition to failing to pay over $100 million in taxes to the state and the city of Waterbury, according to state and local officials. Prospect has also been shortchanging employee pension plans in Connecticut and Pennsylvania, according to the Pension Benefit Guaranty Corporation.

Employees have alleged short-staffing and poor maintenance at the hospitals in recent years: Prospect’s Waterbury Hospital was fined $60,000 and required to hire an independent monitor on Nov. 22 after a series of surprise inspections found unspecified violations of the state’s health code.

It turns out Prospect also stopped paying rent to its landlord soon after the Yale New Haven Health deal was announced in October 2022. By May 2023, Prospect owed $56 million in back rent to Medical Properties Trust, the Alabama-based real estate investment trust that bought the buildings and land under Prospect’s Connecticut hospitals in 2019, according to this week’s court filings. Prospect did not return a request for comment.

Prospect earned $1.5 billion in 2019 for selling hospitals in Connecticut, California and Pennsylvania to Medical Properties Trust, with much of that windfall going to executive pay and shareholder dividends, according to documents obtained by the Rhode Island Attorney General in a case involving the company’s hospitals in that state.

Hospital “sale-leaseback” deals have earned landlord Medical Properties Trust about $1.9 billion in rent and mortgage interest on its national holdings since 2016, according to the company’s third-quarter earnings call on Nov. 7.

In Connecticut, Prospect owed Medical Properties Trust $314 million in loans in addition to the $56 million in back rent on its Connecticut hospitals when the landlord agreed to a deal last year that would give it a $103 million equity stake in its affiliate PHP Holdings, LLC., according to the new court filings.

Yale New Haven Health argued in the Wednesday filing that Medical Properties Trust is refusing to cooperate with requests for additional documents relating to Prospect’s Connecticut hospitals that would fully outline the chain’s debts and defaults.

The Yale New Haven Health-Prospect Medical Holdings civil case is scheduled to go to trial in late April in Hartford Superior Court. The latest court filings are related to a Dec. 31 deadline for information-gathering ahead of the trial.

Amid losses, hospital landlord takes control

Prospect’s court battle comes as its landlord faces significant losses related to its former No. 1 tenant Steward Health Care, a Massachusetts-based chain of community hospitals that collapsed this year amid bankruptcy and allegations of “greed and mismanagement” by its executives, according to Massachusetts Gov. Maura Healey.

Federal agents briefly detained Steward’s former CEO last week as part of a corruption probe, and two of the chain’s seven Massachusetts hospitals have since closed, the Boston Globe reported.

“With Steward’s removal from our portfolio, we look forward to demonstrating the strength and resilience of our diversified portfolio of hospital real estate and the importance of our business model to an industry in desperate need for more capital solutions,” Medical Properties Trust said in a statement with its recent earnings report.

In addition to Steward’s collapse, Prospect’s poor performance and the stalled Yale New Haven Health sale were blamed in part for the Medical Properties Trust’s $801 million loss in the third quarter. “Prospect’s operating losses in multiple East Coast markets that it is attempting to exit … have adversely impacted overall liquidity,” the company said.

Accusing Prospect of defaulting on debt tied to its California hospitals, Medical Properties Trust recently escalated its actions, according to Bloomberg News. The landlord demanded in a Nov. 18 letter that the board members of three of Prospect’s health-care entities in California resign so they could be replaced by designated independent managers, Bloomberg reported.

Medical Properties Trust’s recent dealings with Prospect in California are directly related to its Connecticut court case, Yale New Haven Health said in a filing on Wednesday.

“(Medical Properties Trust) ? including the MPT Connecticut Entities ? possesses highly relevant and responsive materials that have not been produced,” Yale New Haven Health said in its motion. “(It) goes without saying that these are relevant to the allegations of this case, where Prospect’s declining financial condition…and its failure to satisfy its obligations to MPT are directly at issue.”

"I’m beyond excited for this new opportunity, and I cannot wait to further grow as a meteorologist in the Northeast!" she wrote on X and Facebook.

Social media users flooded the comment section with well wishes, and NBC Connecticut meteorologist Bob Maxon welcomed her to the team on X.

Clemons is joining the Connecticut news station after announcing her departure from WKOW 27 News in Madison, Wisconsin, in early November. She joined the 27 Storm Track team in November of 2022, according to her bio.

The St. Louis native graduated from the University of Missouri in May of 2021 with a bachelor's degree in atmospheric science, her bio reads. After college, she worked as the weekday morning meteorologist at KODE / KSNF in Joplin, Missouri, for a year and a half.

Clemons' arrival comes as NBC Connecticut experiences multiple recent changes to its lineup. Last week, Connecticut native Steve Glazier joined NBC Connecticut's Stormtracker and Weather team, following seven years at WeatherNation in Denver, Colorado. He interned at NBC CT in 2007. Glazier will join the station's broadcasts during evening hours and the 7 p.m. news broadcast.

Meteorologist Rachael Jay left NBC Connecticut in October after spending three years reporting on weather in the Nutmeg State.

Other Connecticut's TV news stations have experienced staff changes this year. WFSB meteorologist Lorin Richardson left the station in March, and FOX61 News meteorologist Ryan Breton left the Hartford station for Maine in September.

NEW HAVEN — Amid recent redevelopment on Upper State Street, an owner of a restaurant slated to open in the former J.P. Dempsey's location believes one thing has been missing: "the neighborhood bar, where everybody knows your name."

"It's a neighborhood bar where you know you'll get a solid crowd, a drink and really good food," said John Torello, a businessman who is opening The Crooked Goat at 974 State Street with partners Joe DeLucia and Joe Neagle, the former chef and manager respectively of Delaney's Tap Room in Westville.

"It was such a great bar for years," Torello said. "We wanted to revive this location."

The idea of a neighborhood bar in East Rock isn't a reference to the long-running sitcom Cheers, but is instead rooted in the trio's history, having grown up in the area.

Torello said J.P. Dempsey's was that bar for him, and The Crooked Goat plans on catering to the whole community to recreate a historical sense of Goatville bonhomie. The Crooked Goat's interior, which has been gutted from the J.P. Dempsey's successor restaurant Ward 9, pays homage to the industrial 19th Century history of the Goatville neighborhood, with exposed brick behind the bar.

The Goatville neighborhood was so-named for the pet goats that were said to roam the area. It was known as a hub for manufacturing in the city beginning around 1872, and housed the first commercial laundry in the city.

To arrive at the name, Neagle said the group was attached to the idea of connecting the name to Goatville and drew inspiration from one of their favorite New York City bars, The Crooked Knife, for the rest.

DeLucia, who has worked in New Orleans, Nashville and Atlanta, is bringing a Southern-inspired menu to the restaurant, although the tavern will preserve some of the popular J.P. Dempsey dishes as well.

DeLucia said many of the dishes that are likely to start as specials will be familiar Creole meals, such as gumbo and jambalaya, before more dishes are added to the menu such as low country and Appalachian cuisine. DeLucia said diners can expect authentic po' boys, with bread imported from Gambino's Bakery in Louisiana.

"I like serving food fresh, I don't want it to sit there," he said.

For drinks, the partners said they intend on starting "simple," with drafts, familiar cocktails and Irish whiskey. The Crooked Goat will offer home-made desserts, including DeLucia's beignets, as well as home-made ice cream and boozy milkshakes served until last call — the tavern closes at 2 a.m. on Friday and Saturday and 1 a.m. on other nights.

The Crooked Goat's owners said they believe they'll be open by mid-December, "definitely before Christmas," Neagle said.

NEW HAVEN, CT — A federal grand jury in New Haven returned a nine-count indictment charging Lindsey Edwards, also known as “G-ride,” 45, of Hamden, Matthew Santos, 20, of Waterbury, and Paris Huckaby, 25, of New Haven, with offenses related to the trafficking of counterfeit ecstasy pills and firearms, according to Vanessa Roberts Avery, U.S. Attorney for Connecticut, and Robert Fuller, Special Agent in Charge of the New Haven Division of the Federal Bureau of Investigation.

The three were arrested Tuesday, and appeared in New Haven federal court and entered pleas of not guilty to the charges, Avery said, adding Edwards is detained, and Santos and Huckaby were each released on $100,000 bonds.

As alleged in court documents and statements made in court, the FBI New Haven Safe Streets Task Force has been investigating a drug trafficking organization led by Lindsey Edwards, the U.S. Attorney said.

According to the Justice Department, the investigation included controlled purchases and the seizure of various narcotics, including multicolored pills pressed to look like ecstasy, which contain methamphetamine and metonitazene, a synthetic opioid with a potency similar to or greater than fentanyl.

During the investigation, law enforcement seized more than six kilograms of methamphetamine pills, approximately 600 grams of metonitazene pills, and approximately 300 grams of pills containing a synthetic amphetamine. Investigators also determined that Edwards and Santos trafficked firearms, Avery said.

The indictment charges Edwards and Huckaby with one count of conspiracy to distribute, and to possess with intent to distribute, methamphetamine and metonitazene, according to the US Attorney. In addition, Edwards is charged with three counts, and Huckaby with one count, of possession with intent to distribute, and distribution of, 50 grams or more of methamphetamine, federal prosecutors said.

As to the drug conspiracy charge, based on the type and quantity of drug attributed to each defendant, Edwards faces a mandatory minimum term of imprisonment of 10 years and a maximum term of imprisonment of life, and Huckaby faces a mandatory minimum term of imprisonment of five years and a maximum term of imprisonment of 40 years, Avery said. The substantive charge of possession with intent to distribute, and distribution of, 50 grams or more of methamphetamine, carries a mandatory minimum term of imprisonment of five years and a maximum term of imprisonment of 40 years, per the U.S. Attorney.

Federal prosecutors said the indictment also charges Edwards and Santos with one count of engaging in a firearms trafficking conspiracy, and with one count of unlawful transfer of a firearm and Edwards is charged with one count of unlawful possession of a firearm by a felon, one count of unlawful possession of ammunition by a felon, and one count of using, carrying, or possessing a firearm in furtherance of a drug trafficking offense.

The firearms trafficking and possession charges each carry a maximum term of imprisonment of 15 years, Avery said, adding, as to Edwards, the charge of using, carrying, or possessing a firearm in furtherance of a drug trafficking offense carries a mandatory consecutive term of imprisonment of at least five years.
